Terms of Service
These terms cover your use of Fernz. Plain language, no traps — but they are the agreement between us, so please read them.
The agreement
By using Fernz you agree to these terms. "We" and "Fernz" mean the service; "you" means the business owner or the business using it. If you're agreeing on behalf of a business, you confirm you're allowed to.
What the service does
Fernz builds and runs an AI-assisted web presence: a website, drafted posts for social platforms and your Google listing, customer email, and a simple jobs and quotes workflow. We design your site, host it, and keep it running while your subscription is active.
Some features are switched on progressively. We may add, change, or retire features; if we retire something you rely on, we'll tell you first.
You approve what goes out
This is the most important term here. Fernz drafts — you decide. Nothing is published to your website, posted to your social accounts, or emailed to your customers until you approve it, or until you've set a standing approval for that specific channel yourself.
Because you approve it, you are responsible for the content that goes out under your name. AI-generated text can be wrong, out of date, or inexact — prices, dates, availability, and claims about your work are yours to check before you tap approve. Don't approve anything you wouldn't have written yourself.
Your account
You sign in with a link sent to your email, so keep that inbox secure — anyone who can read it can reach your dashboard. Tell us promptly if you think someone else has access. You're responsible for what happens under your account.
Your content, your business
Your words, photos, logo, customer list, and business information stay yours. You give us permission to store, process, and publish them for the purpose of running your web presence — nothing else. We don't sell your data, and we don't use your customer list for our own marketing.
The Fernz platform itself — the software, the design engine, and the site templates it generates from — remains ours. You get to use your site, not to resell the engine behind it.
You keep the right to export your content, and to ask us to delete it. See the Privacy Policy.
Fair use of email and social
Email you send through Fernz leaves a shared sending domain, so one sender's behaviour affects every other business on the platform. You agree to email only people who agreed to hear from you — no purchased, scraped, or harvested lists — and to honour unsubscribes, which we attach automatically to every campaign.
We apply a monthly sending allowance per business to protect that shared reputation, and we may pause sending for any account that generates significant spam complaints or bounce rates. You also agree to follow the rules of any platform you connect (Meta, Google, and others), and not to use Fernz for anything unlawful, deceptive, or designed to impersonate someone else.
Connected accounts
When you connect Facebook, Instagram, Google, or a payment provider, you're granting Fernz permission to act on your behalf on those platforms — within the approval gate above. You can disconnect at any time from your dashboard or from the platform itself, and we delete the access tokens we hold. Those platforms have their own terms, and we can't guarantee their availability.
Fees and cancellation
Fernz Pro is $59 per month in Canadian dollars, billed monthly in advance through Stripe. You pay nothing until you approve a design. Prices may change with at least 30 days' notice before your next renewal.
You can cancel at any time from your dashboard. Cancellation stops the next charge; it doesn't refund the current period, and your site stays up until that period ends. We don't offer pro-rated refunds for partial months, but if something has genuinely gone wrong, write to us — we'd rather sort it out than argue about it.
Non-payment
If a payment fails, we'll tell you and try again. If it stays unpaid, your public website may be paused until billing is fixed. You keep access to your dashboard, your customer information, and your content, and you can always update your payment details or export your data.
Ending the agreement
You can stop using Fernz whenever you like. We may suspend or end an account that breaches these terms — particularly the email and platform rules above — or where we're required to by law. Except in cases of clear abuse, we'll give you notice and a chance to export your content first.
Availability
We work to keep Fernz and the sites it hosts online, but we don't promise uninterrupted service. Maintenance, third-party outages, and platform changes happen. We provide the service "as is", without warranties beyond those the law requires and that cannot be excluded.
Liability
To the extent the law allows, Fernz isn't liable for indirect or consequential losses — including lost profits, lost business, or lost data — and our total liability for any claim is limited to the fees you paid us in the twelve months before it arose. Nothing here limits liability that can't legally be limited.
Changes to these terms
We may update these terms. If a change materially affects you, we'll give you reasonable notice by email or in your dashboard before it takes effect. Continuing to use Fernz after that means you accept the updated terms.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and the courts of Ontario have jurisdiction.
